Public Company registration conditions

The few crucial prerequisites for starting a public company are budgeting the development expenses, deciding the business name, registering it in the Trade Register (that will also facilitate your legitimacy with private entities), and measuring the sum of your share capital.
As of July 1, 2016, public limited corporations have been required to maintain a share registry that includes the contact information of authorized stockholders and company members. Every worker of your PLC (Inc.) will be required to sign up with the compensation fund.

Timeline

The registration procedure typically requires two to four weeks, following which the firm becomes a legal construct.

Fees

The fee of registering a corporation with the federal government is CHF 600. Regional governments then tack on surcharges, bringing the total amount to around CHF 1,000.

Compulsory regulation

At first, you have to be a Swiss national to work as a self-employed individual or as an owner of a corporate body. The minimum capital necessary for the creation of a corporation is CHF 100,000. All enterprises (with a sales revenue of at least CHF 500,000) are required to keep accurate financial reports and to keep accrual data and related documents for ten years. There must be at least one shareholder and one member of the board of directors, who may be the same individual. There is no limit to the individual’s obligation; however, their name must appear on the trademark. Finally, if your overall revenues surpass CHF 100,000, you must register with the Chamber of Commerce.
